Terms and Conditions of Sale

  1. Payment

Terms of payment are net cash in United States Dollars prior to shipment, unless otherwise agreed by DieQua Corporation (“DieQua”) and Purchaser in writing. Purchaser shall pay DieQua a late penalty on all amounts past due computed at the lesser of (i) eighteen percent (18%) per annum or (ii) the maximum rate permitted by applicable law. Purchaser shall be liable for any and all costs and expenses arising out of, or in connection with, efforts by DieQua to collect any unpaid amounts hereunder, including, without limitation, reasonable attorneys’ fees and collection agency fees and expenses. Purchaser shall not withhold, offset, or recoup any amounts due to DieQua without DieQua’s prior written consent. No forbearance, indulgence, or delay by DieQua in taking any action hereunder shall be deemed a waiver of any rights of DieQua under this Agreement.

  1. Taxes

Prices do not include any federal, state or local taxes, which are in addition to the purchase price and must be paid by Purchaser in United States Dollars. Any and all foreign duties, tariffs, and taxes are the responsibility of Purchaser. Unless Purchaser furnishes DieQua with a tax exemption certificate, any sales, use, excise or other similar tax, where applicable, shall be the responsibility of Purchaser and shall be added to the quoted purchase price and invoiced by DieQua to Purchaser. The failure of DieQua to invoice such taxes does not excuse the Purchaser from responsibility for paying the same.

  1. Freight and Insurance

All freight and insurance charges are the responsibility of Purchaser unless otherwise agreed by DieQua and Purchaser in writing.

  1. Inspection

Upon reasonable advance notice to DieQua, Purchaser shall have the right, at its own expense and upon reasonable advance notice, to inspect the goods sold hereunder (the “Goods”) at DieQua’s location during normal business hours prior to time of shipment. Any such inspection shall be limited to verifying that the Goods conform in all material respects to the applicable specifications.

Purchaser shall inspect all Goods promptly upon delivery and unless Purchaser notifies DieQua in writing of any nonconformity, specifying in reasonable detail the basis for such claim, within ten (10) days after delivery, the Goods shall be deemed accepted. DieQua shall have a reasonable opportunity to inspect any allegedly nonconforming Goods.

Purchaser shall notify DieQua in writing of any shortages, shipping errors or discrepancies with shipping documents within thirty (30) days after delivery, failing which such claims shall be deemed waived.

  1. Quantity and Delivery

DieQua shall have the right to increase or decrease the quantity of the Goods stated in this Agreement, provided that fifteen (15) days prior written notice of such election is given by DieQua to Purchaser. Any delivery dates are estimates only and DieQua shall not be liable for delays in delivery. Unless otherwise stated, the purchase price is F.O.B. Place of Shipment and excludes packaging, skidding, or crating for shipment. Risk of loss shall pass to Purchaser upon delivery of the Goods to the carrier at the place of shipment.

  1. Limited Warranty

The Goods sold by DieQua are warranted by DieQua for a period of twelve (12) months from the date of delivery against defects in materials and workmanship. DieQua reserves the right to repair any product defects claimed under this warranty or replace any defective product. Product defects or failures resulting from normal wear and tear, modification or alteration, incorrect product use, use in unintended applications, integration into systems not approved by DieQua, product mishandling or failure to follow instructions or specifications are expressly excluded from coverage under this warranty. This limited warranty is subject to the following:

(a) This limited warranty set forth in this section 6 is in lieu of, and DieQua disclaims and excludes, all other warranties, statutory, express or implied, including, without limitation, any warranty of merchantability or fitness for a particular purpose.

(b) Failure of Purchaser to make any claim under this warranty within twelve (12) months from the date of delivery of the subject Goods shall be conclusive evidence of DieQua’s fulfillment of its warranty obligations.

Purchaser is solely responsible for determining the suitability of the Goods for its intended application, even if DieQua provides recommendations or assistance. DieQua shall have no responsibility for system design or integration.

  1. Non-Liability of DieQua

DieQua shall not be liable for its failure to perform hereunder, due to any contingency beyond its reasonable control, including acts of God, fires, floods, wars, sabotage, accidents, labor disputes or shortages, government laws, regulations, ordinances or codes, inability to obtain material or equipment and any similar or different contingencies.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER DIEQUA NOR ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS OR ASSIGNS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR SPECIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR PROFITS, COST OF CAPITAL, BUSINESS INTERRUPTION OR CLAIMS OF CUSTOMERS), EVEN IF DIEQUA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  1. Purchaser’s Responsibility and Indemnity

It shall be Purchaser’s responsibility to ensure that any goods purchased from DieQua are installed and operated in a proper and safe manner. Purchaser also acknowledges that it may have to install or change guards, safeties, warnings or other components to ensure that the Goods will conform to all laws, regulations, ordinances, codes, insurance requirements and industry standards. Purchaser shall bear and pay all expenses, losses and damages that may arise from the transportation of the Goods after they shall have been delivered by DieQua to the Place of Shipment, and all losses, damages, debts and liabilities incurred by Purchaser in connection with the sale of the Goods and every other expense relating or incidental thereto, except such costs, damages or expenses as may arise from any action or proceeding brought against Purchaser with respect to the title of DieQua to the Goods and DieQua’s right to sell and advertise the same.

Purchaser agrees to defend, indemnify and hold harmless DieQua from and against all third-party suits, claims, costs, damages and expenses (including reasonable attorneys’ fees), arising out of, or in connection with, the transportation, purchase, ownership or use of the Goods.

  1. Modifications

Purchaser acknowledges that these are the only terms and conditions of sale, are intended by the parties as a complete and exclusive statement of the terms of their agreement, supersede all prior agreements, written or oral, and upon issuance of DieQua’s invoice or acknowledgment will become part of that invoice or acknowledgment. No course of prior dealings between the parties, no usage of the trade, nor any forms submitted by Purchaser containing different or conflicting terms shall be part of this Agreement nor shall they be relevant to supplement or explain any term herein. Acceptance or acquiescence in a course of performance rendered shall not be relevant to determine the meaning of any agreement with DieQua even though the accepting or acquiescing party has knowledge of the nature of the performance and opportunity for objection. Whenever a term defined by the Uniform Commercial Code (“Code”) is used herein, the definition contained in the Code shall control. Any variation from the terms hereof contained in Purchaser’s acceptance is hereby rejected. This Agreement of which these terms are a part can be modified or rescinded only by a writing signed by both parties or their duly authorized agents.

  1. Suspension and Cancellation

DieQua may suspend performance or cancel any order, without liability, if Purchaser fails to make payment when due or if DieQua reasonably determines Purchaser’s financial condition is impaired.

  1. Returns and Custom Products

No Goods may be returned without DieQua’s prior written authorization. Returned Goods may be subject to restocking charges.

With respect to orders for Goods that are non-standard, custom, or specifically fabricated to Purchaser’s specifications, if such orders are cancelled by Purchaser after acceptance by DieQua and commencement of production or procurement, Purchaser shall be responsible for all work-in-progress, materials and costs incurred by DieQua through the date of cancellation.

With respect to any Goods designated by DieQua as “non-cancelable” or similar designation on any quotation, order acknowledgement or other sales document, such orders may not be cancelled by Purchaser after such order has been accepted or acknowledged by DieQua, entered into DieQua’s system, and production or procurement has commenced. In such event, Purchaser shall remain responsible for the full purchase price of such Goods, unless otherwise agreed by DieQua in writing.

  1. Quotations

All quotations are made for immediate acceptance and are subject to withdrawal, change and prior sale at any time and without notice.

  1. Limitation of Remedies

No claim of any kind arising out of, or in connection with, directly or indirectly, this agreement shall be greater in amount than the purchase price of the goods purchased hereunder in respect of which such damages are claimed, and failure to give notice of a claim within twelve (12) months from the date of delivery or the date fixed for delivery (in the event of nondelivery) shall constitute a waiver by purchaser of all claims in respect of such goods. The remedy hereby provided shall be the exclusive and sole remedy of purchaser and any right to consequential and incidental damages is excluded.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION.

  1. Waiver of Right to Jury Trial/Submission to Jurisdiction/Designation of Law and Forum

In any action brought in any court by Purchaser, or any successor or assignee of Purchaser, arising out of, or in connection with, directly or indirectly, this agreement, or the goods purchased hereunder, Purchaser hereby waives its right to a trial before a jury. The parties agree that the laws of the state of Illinois (without giving any effect to any choice of law or conflict of law rules or provisions) shall control in construing this agreement and in any action relating thereto and that all actions which arise out of or are related to this agreement shall be brought in a court of competent jurisdiction located in Cook County, Illinois.

  1. Bankruptcy

In the event any one or more of the following shall occur, any and all obligations of DieQua hereunder, including, without limitation, any obligation to deliver the Goods to Purchaser, shall terminate immediately and without further action by DieQua. Purchaser files a petition in bankruptcy or is adjudicated as bankrupt, or a petition in bankruptcy is filed against Purchaser; Purchaser becomes insolvent or makes an assignment for the benefit of its creditors or an arrangement pursuant to any bankruptcy law; or Purchaser discontinues its business or a receiver is appointed for it or its business.

  1. Time for Bringing Action

Any action by Purchaser for breach of any agreement of which these terms are a part shall be commenced, and DieQua must be served, not later than (1) year after the cause of action has accrued.

  1. Purchaser Compliance with Applicable Export Laws

Purchaser agrees to abide by all applicable rules and regulations promulgated by Treasury Department’s Office of Foreign Assets Control (“OFAC”) and the Bureau of Industry and Security, Department of Commerce, Export Administration Regulations (15 CFR part 748) or any other applicable law or regulation relating to the export of goods to countries that are subject to embargoes or restrictions imposed by the United States Government or any of its offices. Purchaser warrants to DieQua that it will not reexport, resell, or otherwise dispose of any items to any country not approved for export by the Export Administration Regulations or any other Federal regulations. Purchaser warrants that any goods supplied by DieQua will not be processed or incorporated into any product that will be exported to any country not approved for export by the Export Administration Regulations or any other Federal regulations. Purchaser undertakes and assumes all obligations to inform itself of laws and regulations relating to the sale or export of goods to prohibited countries. Purchaser agrees to indemnify, defend and hold harmless DieQua for any damages sustained by DieQua in connection with Purchaser’s violation of any Federal law which results in liability being imposed on DieQua.

  1. Assignment

Purchaser may not assign its rights or obligations without DieQua’s prior written consent.
